Forming the LLC
Oregon LLCs are formed by filing a Articles of Organization with the Oregon Secretary of State, Corporation Division, which accepts filings online. The state charges a one-time fee to accept it; the fee is the same whether you file yourself or use a service, and StartGlobal includes it in the $399.
Keeping it active
Oregon LLCs file an Annual Report every year. It is due each year on the anniversary date of the original filing.
Oregon Corporate Activity Tax (CAT) applies to businesses, including LLCs, once their Oregon commercial activity passes the registration threshold; such businesses register with the Oregon Department of Revenue and file CAT returns.
You also need a registered agent in Oregon every year. Ours is included for the first year and $99 a year after; you can act as your own if you have a Oregon address and are there in business hours.
- The Corporation Division sends a renewal notice about 45 days before the anniversary due date.
- New LLCs can be registered online through the Oregon Business Registry, where staff review the filing before it is completed.
