Welcome to StartGlobal. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and StartGlobal ("Company," "we," "us," or "our") governing your access to and use of our website, platform, and services.
BY ACCESSING OR USING OUR WEBSITE OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND OUR PRIVACY POLICY. If you do not agree to these Terms, you must not access or use our website or services.
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

StartGlobal is a TECHNOLOGY COMPANY that provides online document filing and business formation services. StartGlobal is NOT a law firm and does NOT provide legal advice.
StartGlobal is NOT a certified public accounting (CPA) firm and does NOT provide tax advice, accounting advice, or tax preparation services.
StartGlobal is NOT a financial advisory firm and does NOT provide investment advice, financial planning, or wealth management services.
We provide document preparation and filing services only. The information provided on our website and through our services is for general informational purposes only and should not be construed as legal, tax, financial, or professional advice. You should consult with qualified attorneys, accountants, and financial advisors for advice specific to your situation.
All information, content, and materials available on our website and through our services are provided on an "AS IS" and "AS AVAILABLE" basis for general information purposes only.
3. Services Description
StartGlobal provides the following services, subject to these Terms:
3.1 LLC Formation Services
We prepare and file Articles of Organization and other formation documents with state agencies on your behalf. Formation timelines depend on state processing times, which are outside our control.
3.2 Registered Agent Services
We provide registered agent services in applicable states, receiving and forwarding legal and official documents on behalf of your business entity.
3.3 EIN Registration Services
We assist with obtaining an Employer Identification Number (EIN) from the Internal Revenue Service (IRS) on your behalf. EIN processing times are determined by the IRS and are outside our control.
3.4 Bank Account Assistance
We facilitate introductions and applications to our banking partners for business bank account opening. Bank account approval is NOT guaranteed. See Section 9 for important disclaimers regarding bank account services.
3.5 Compliance Services
We offer annual report filing, compliance reminders, and other ongoing compliance assistance services.
4. User Eligibility and Restrictions
4.1 Age and Capacity Requirements
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these requirements.
4.2 Sanctioned Countries and Persons - IMPORTANT
PROHIBITED USERS:
You are prohibited from using our services if you are located in, organized under the laws of, or a resident of any country or territory that is subject to comprehensive economic sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), or if you are a person identified on any OFAC sanctions list.
The list of sanctioned countries and persons is subject to change. It is YOUR responsibility to verify that you are not prohibited from using our services under applicable U.S. sanctions laws and regulations. You can find the current list of sanctioned countries and persons on the OFAC website at https://ofac.treasury.gov.
By using our services, you represent and warrant that you are not located in, organized under the laws of, or a resident of any sanctioned country, and that you are not a sanctioned person or acting on behalf of a sanctioned person or entity.
4.3 Legal Authority
You represent and warrant that you have the legal authority to form a business entity in the United States and that you are not prohibited by any law, regulation, court order, or agreement from forming such an entity.
5. User Representations and Warranties
By using our services, you represent, warrant, and covenant that:
- All information you provide to us is true, accurate, complete, and not misleading
- You will promptly update any information that becomes inaccurate or incomplete
- You are not located in, organized under the laws of, or a resident of any country or territory subject to OFAC sanctions
- You are not a person identified on any OFAC sanctions list or acting on behalf of such a person or entity
- You have the legal authority and capacity to form a business entity and to enter into these Terms
- Your use of our services does not violate any applicable law, regulation, or third-party rights
- You understand and acknowledge that StartGlobal is not a law firm, CPA firm, or financial advisory firm
- You understand and acknowledge that our services do not constitute legal, tax, or financial advice
- You are solely responsible for the accuracy of all information provided and for ensuring compliance with all applicable laws and regulations
- You will not use our services for any illegal, fraudulent, or unauthorized purpose
6. Payments and Fees
6.1 Service Fees
All fees for our services are displayed on our website at the time of purchase. Fees are subject to change without prior notice. The fees in effect at the time you place your order will apply to your transaction.
6.2 State Filing Fees
State filing fees are charged by state agencies and are separate from our service fees. State filing fees vary by state and are subject to change by state agencies without notice. State filing fees are non-refundable once submitted to the state agency.
6.3 Payment Terms
Payment is due at the time of purchase. We accept major credit cards, debit cards, and other payment methods as indicated on our website. All payments are processed in U.S. dollars unless otherwise specified.
6.4 Final Payment
ALL PAYMENTS ARE FINAL. Except as specifically provided in our Refund Policy (Section 7), all fees paid to StartGlobal are non-refundable.
6.5 Recurring Services
Certain services, such as registered agent services, may be billed on a recurring annual basis. You authorize us to charge your payment method on file for recurring fees until you cancel the service. You may cancel recurring services by contacting us before the renewal date.
7. Refund Policy
PLEASE READ THIS REFUND POLICY CAREFULLY:
7.1 LLC Formation Refunds
We offer a 100% refund of our LLC formation service fees ONLY if requested BEFORE your formation documents have been submitted to the state agency for filing. Once documents are submitted to the state, no refund is available.
7.2 State Filing Fees
State filing fees are NON-REFUNDABLE under any circumstances once submitted to the state agency. These fees are paid directly to state agencies and cannot be recovered.
7.3 Registered Agent Services
Registered agent service fees are NON-REFUNDABLE after service activation. If you cancel registered agent services before activation, a full refund may be provided.
7.4 EIN Services
EIN service fees are NON-REFUNDABLE after your EIN application has been submitted to the IRS. If you cancel before submission, a refund may be provided.
7.5 Other Services
Fees for other services, including but not limited to compliance services, annual report filing, and document preparation, are generally non-refundable once work has commenced on your order.
7.6 Refund Process
To request a refund, please contact us at team@startglobal.co with your order details. Approved refunds will be processed within 5-10 business days and credited to your original payment method. We reserve the right to deny refund requests that do not meet the criteria specified in this policy.
7.7 Chargebacks
If you initiate a chargeback or payment dispute with your bank or credit card company, we reserve the right to suspend or terminate your services and pursue collection of any amounts owed, including chargeback fees and administrative costs.
8. Bank Account Services Disclaimer
IMPORTANT - PLEASE READ CAREFULLY:
BANK ACCOUNT OPENING IS NOT GUARANTEED. StartGlobal facilitates introductions and applications to banking partners but has NO control over bank decisions regarding account approval, denial, or closure.
8.1 No Guarantee of Approval
Banking partners make their own independent decisions regarding account applications. StartGlobal cannot and does not guarantee that any banking partner will approve your application for a business bank account.
8.2 Bank Discretion
Banks may refuse to open accounts for any reason at their sole discretion, including but not limited to:
- Identity verification failures
- Risk assessment concerns
- Industry or business type restrictions
- Geographic restrictions
- Compliance or regulatory concerns
- Internal bank policies
8.3 Account Closure
Banks may also close accounts at any time at their sole discretion. StartGlobal has no control over and accepts no liability for any bank's decision to close your account.
8.4 No Liability
StartGlobal is NOT liable for any banking partner's decision to deny your application, close your account, or take any other action. You agree not to hold StartGlobal responsible for any losses, damages, or inconvenience resulting from any bank's decisions or actions.
8.5 Third-Party Terms
Your relationship with any banking partner is governed by that bank's own terms of service, privacy policy, and account agreements. You are responsible for reviewing and complying with all applicable banking partner terms.
9. Third-Party Services and Partners
9.1 Use of Third Parties
We work with independent contractors, service providers, and business partners to help us deliver our services. These third parties may have access to your information as necessary to perform their functions.
9.2 No Control Over Third Parties
StartGlobal has no control over the actions, decisions, or conduct of any third-party service providers, contractors, or partners. This includes but is not limited to state agencies, the IRS, banking partners, payment processors, and other service providers.
9.3 Third-Party Terms
By using our services, you agree to be bound by the terms of service, privacy policies, and other agreements of third parties with whom we work or to whom we introduce you. It is your responsibility to review and comply with all applicable third-party terms.
9.4 Data Sharing
We share your information with third parties as necessary to provide our services and as described in our Privacy Policy. By using our services, you consent to such sharing.
10. Disclaimer of Warranties
IMPORTANT DISCLAIMER:
OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STARTGLOBAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY: We make no warranty that our services are fit for their intended purpose or will meet your expectations.
- FITNESS FOR A PARTICULAR PURPOSE: We make no warranty that our services are suitable for your specific needs or intended use.
- NON-INFRINGEMENT: We make no warranty that our services do not infringe upon the rights of third parties.
- ACCURACY: We make no warranty that the information provided through our services is accurate, complete, or current.
- RELIABILITY: We make no warranty that our services will be uninterrupted, error-free, or secure.
- RESULTS: We make no warranty regarding the results that may be obtained from using our services.
The information provided on our website and through our services is for general informational purposes only. We do not warrant or guarantee the accuracy, completeness, timeliness, or reliability of any information provided. You acknowledge that any reliance on such information is at your own risk.
11. Limitation of Liability
IMPORTANT - LIMITATION OF LIABILITY:
11.1 Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STARTGLOBAL'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU PAID TO STARTGLOBAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11.2 Exclusion of Damages
IN NO EVENT SHALL STARTGLOBAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, business, or anticipated savings
- Loss of data or information
- Loss of goodwill or reputation
- Cost of substitute goods or services
- Damages resulting from any delay, interruption, or failure of service
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.3 Specific Exclusions
Without limiting the foregoing, StartGlobal shall not be liable for:
- Actions, decisions, or delays by state agencies, the IRS, or other governmental bodies
- Actions, decisions, or conduct of banking partners, including denial of applications or account closures
- Actions, decisions, or conduct of any third-party service providers or partners
- Errors, inaccuracies, or omissions in information provided by you
- Any sanctions violations or penalties arising from your misrepresentation of eligibility
- Any consequences arising from your reliance on information provided through our services
- Any unauthorized access to or use of your account
12. Indemnification
You agree to defend, indemnify, and hold harmless StartGlobal and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees and legal costs) arising from or relating to:
- Your use of and access to our website and services
- Your violation of any term of these Terms of Service
- Your violation of any third-party right, including without limitation any copyright, trademark, trade secret, or other intellectual property right, or privacy or publicity right
- Your violation of any applicable law, rule, or regulation
- Any information you provide to us that is false, inaccurate, incomplete, or misleading
- Any claim that your use of our services caused damage to a third party
- Any sanctions violations or penalties arising from your misrepresentation of your eligibility to use our services
- Any action taken by state agencies, the IRS, banks, or other third parties in connection with your business or account
This indemnification obligation will survive the termination of these Terms and your use of our services.
13. Intellectual Property
13.1 Ownership
All content, features, and functionality on our website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof, are the exclusive property of StartGlobal or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
13.2 Trademarks
StartGlobal, the StartGlobal logo, and other StartGlobal trademarks, service marks, graphics, and logos used in connection with our services are trademarks or registered trademarks of StartGlobal. You may not use any of these trademarks without our prior written consent.
13.3 Limited License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website and services for their intended purposes. This license does not include the right to copy, reproduce, distribute, transmit, display, sell, license, or otherwise exploit any content for any purpose without our prior written consent.
14. Prohibited Uses
You agree not to use our website or services for any purpose that is:
- Illegal under any applicable law or regulation
- Fraudulent or involves the use of false information
- Related to money laundering, terrorist financing, or other financial crimes
- Related to tax evasion or tax fraud
- Intended to evade or circumvent U.S. sanctions laws or regulations
- Harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- In violation of any third-party rights
- Intended to interfere with or disrupt our services or servers
- Intended to probe, scan, or test the vulnerability of our systems
- Intended to circumvent any security or authentication measures
15. Termination
15.1 Termination by Us
We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:
- Violation of these Terms
- Providing false, inaccurate, or misleading information
- Engaging in prohibited activities
- Non-payment of fees
- Request by law enforcement or government agencies
- Discontinuation or material modification of our services
15.2 No Refund Upon Termination for Violation
If we terminate your access due to your violation of these Terms, you will not be entitled to any refund of fees paid.
15.3 Effect of Termination
Upon termination, your right to use our services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Subject to the arbitration provisions in Section 17, you agree that any legal action or proceeding relating to these Terms or your use of our services shall be brought exclusively in the state or federal courts located in New Castle County, Delaware. You consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.
17. Dispute Resolution and Arbitration
17.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at team@startglobal.co to attempt to resolve the dispute informally. We will attempt to resolve the dispute within thirty (30) days from the date of your initial contact.
17.2 Binding Arbitration
If we cannot resolve the dispute informally, you and StartGlobal agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services (including the determination of the scope or applicability of this agreement to arbitrate) shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.
The arbitration shall be conducted by a single arbitrator in New Castle County, Delaware. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
17.3 Class Action Waiver
CLASS ACTION WAIVER:
YOU AND STARTGLOBAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against StartGlobal. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
17.4 Small Claims Court Exception
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
17.5 Arbitration Fees
Each party shall bear its own costs and attorney's fees in any arbitration proceeding. The arbitrator may award attorney's fees and costs to the prevailing party where authorized by applicable law.
18. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the other provisions of these Terms, which shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the intent of the original provision.
19. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and StartGlobal regarding your use of our website and services. These Terms supersede all prior or contemporaneous communications, agreements, and understandings, whether oral or written, between you and StartGlobal regarding the subject matter hereof.
20. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by StartGlobal.
21. Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
22. Changes to Terms
We reserve the right to modify these Terms at any time and for any reason. Any changes will be effective immediately upon posting the revised Terms on our website, and we will update the "Last updated" date accordingly.
Your continued use of our website or services following the posting of any changes constitutes your acceptance of those changes. We encourage you to review these Terms periodically. If you do not agree to any modified terms, you must discontinue your use of our services.
