Forming the LLC
Nebraska LLCs are formed by filing a Certificate of Organization with the Nebraska Secretary of State, Business Services, which accepts filings online. The state charges a one-time fee to accept it; the fee is the same whether you file yourself or use a service, and StartGlobal includes it in the $399.
Publication: Notice of organization must be published for three successive weeks in a legal newspaper of general circulation near the LLC's designated office, and proof of publication must be filed with the Secretary of State (Neb. Rev. Stat. 21-193). Bills in 2025 and 2026 to change this rule were indefinitely postponed, so the newspaper requirement still applies.
Keeping it active
Nebraska LLCs file a Biennial Report every two years. It is due between January 1 and April 1 of each odd-numbered year (delinquent as of June 16). The first one is due between January 1 and April 1 of the first odd-numbered year after the year the LLC is formed.
