Forming the LLC
Virginia LLCs are formed by filing a Articles of Organization with the Virginia State Corporation Commission, Clerk's Office, which accepts filings online. The state charges a one-time fee to accept it; the fee is the same whether you file yourself or use a service, and StartGlobal includes it in the $399.
Keeping it active
Virginia has no annual report for LLCs; the yearly filing is the annual registration fee.
Virginia LLCs do not file an annual report, but must pay an annual registration fee to the State Corporation Commission each year after the year of formation, due by the last day of the month in which the LLC was formed. If it remains unpaid by the last day of the third month after the due date, the LLC is automatically canceled.
You also need a registered agent in Virginia every year. Ours is included for the first year and $99 a year after; you can act as your own if you have a Virginia address and are there in business hours.
- There is no annual report for LLCs in Virginia, only the annual registration fee, which is still a hard deadline.
- Articles of Organization can be filed online through the SCC Clerk's Information System (CIS).
