Adding Beneficial Owner Information

Overview

Federal law requires companies to report information about individuals who directly or indirectly own or control the LLC. In this step, you identify all beneficial owners of your company, provide their personal details and addresses, and upload identity documents for each. Members from the previous step are automatically carried over as direct beneficial owners, and you can add additional indirect beneficial owners as needed.

  • You must have completed the Member Details step.
  • Understand the difference between direct and indirect beneficial owners (explained in the form).
  • Have a digital copy of each beneficial owner's government-issued identity document (passport or ID card) in .pdf, .jpg, .jpeg, or .png format, no larger than 10 MB.
  • Know whether any individuals exercise substantial control over the LLC without being direct owners.

Step-by-Step Instructions

  1. Review the beneficial owners introduction.

    Read the description and info cards at the top of the page.

    What you will see

    A page titled "Beneficial Owners Information" with a description about federal law requirements. Two color-coded info cards explain the two categories:

    • Direct Beneficial Owners (blue card): Individuals who directly own 25% or more of the LLC.
    • Indirect Beneficial Owners (purple card): Individuals who exercise substantial control over the LLC without direct ownership, such as through a parent company or trust.
  2. Review the "What is Substantial Control?" explanation.

    Read the alert box that explains substantial control.

    What you will see

    An informational alert explaining the criteria for substantial control, which may include senior officers, individuals with authority over key decisions, or anyone else who exercises significant influence over the company.

  3. Review auto-populated direct beneficial owners.

    Expand each owner in the accordion to verify that the information carried over from the Member Details step is correct.

    What you will see

    An accordion listing all members from the previous step, pre-populated with their names, contact details, and addresses.

  4. Complete any missing fields for each beneficial owner.

    Review and fill in any fields that are not pre-populated, such as address details or contact information.

    What you will see

    The same personal information and address fields as in the Member Details step, with some fields already filled in.

  5. Upload an identity document for each beneficial owner.

    For every beneficial owner, click the Identity Document Upload area and select or drag-and-drop a file.

    What you will see

    A file upload area accepting .pdf, .jpg, .jpeg, and .png files (max 10 MB). After uploading, the file name and size will be displayed. This document is required for all beneficial owners.

  6. Add additional indirect beneficial owners (if applicable).

    If there are individuals who exercise substantial control over the LLC but are not direct members, click the "ADD ADDITIONAL BENEFICIAL OWNER" button.

    What you will see

    A new owner form will appear in the accordion. Fill in all required fields including personal information, address, and identity document upload.

  7. Remove an indirect beneficial owner (if needed).

    To remove an indirect beneficial owner you added, expand their section and click the "REMOVE" button.

    Tip

    The "REMOVE" button is available only for indirect beneficial owners that were manually added. Direct beneficial owners (carried over from the Member Details step) cannot be removed from this screen.

  8. Verify all identity documents are uploaded.

    Check each beneficial owner's section to confirm that a document has been uploaded. The form requires documents for every listed owner.

    What you will see

    Each beneficial owner section will show the uploaded file name. If a document is missing, a validation error will appear when you attempt to continue.

  9. Continue to the next step.

    Click the "Continue" button after all information is complete and all documents are uploaded. Click "Go Back" to return to the Member Details step.

    What you will see

    If all validations pass, you will advance to the Review step. Otherwise, error messages will indicate which fields or documents need attention.

What Happens Next

  • You will proceed to the Review step, where you can see a complete summary of all formation data you have entered -- company details, responsible party, members, and beneficial owners.
  • This is your final opportunity to verify everything before submission.

Frequently Asked Questions

Troubleshooting

My identity document upload is being rejected.

Ensure the file is in .pdf, .jpg, .jpeg, or .png format and is under 10 MB. Files in .heic, .webp, or other formats are not supported. Convert or re-export the file in a supported format.

I cannot remove a beneficial owner.

The "REMOVE" button is only available for indirect beneficial owners that you manually added. Direct beneficial owners (from the Member Details step) cannot be removed here.

The form says documents are missing but I already uploaded them.

Expand each beneficial owner's section individually and verify that a file is shown. The upload may not have completed for one of the owners. Re-upload if necessary.

I need to add a beneficial owner but the button is not visible.

Scroll to the bottom of the beneficial owners list to find the "ADD ADDITIONAL BENEFICIAL OWNER" button. It may be below the fold on smaller screens.

The "Continue" button shows validation errors.

Check every beneficial owner section for missing required fields or missing identity documents. All fields and documents must be complete before continuing.
