Adding LLC Member Details

Overview

In this step, you provide the details for every owner (member) of your LLC. Each member's personal information, contact details, address, and ownership percentage must be entered. If the Responsible Party declared themselves as an owner in the previous step, their information will already appear here. You must ensure that the total ownership percentages across all members add up to exactly 100%.

Before You Begin

Step-by-Step Instructions

1. Review the existing members.

   Look at the list of owners already displayed on the page.

   What you will see

   A page titled "Details of the owners in your company" with an accordion-style list. If the Responsible Party declared ownership, they will appear as the first member with their information pre-filled.

2. Expand a member's section to view or edit details.

   Click on a member's name in the accordion to expand their form.

   What you will see

   The full form for that member, including all personal and address fields.

3. Mark a member as a business entity (if applicable).

   If the member is a business rather than an individual, check the checkbox labeled "This owner is a business" at the top of the member's form.

   What you will see

   The form fields may adjust to accommodate business entity information.

4. Enter the member's personal information.

   Fill in the member's First name, Last name, Email, and Phone number.

   What you will see

   Required text input fields for each piece of information.

5. Enter the member's address.

   Fill in the Street address, Country, State, City, and ZIP code for the member.

   What you will see

   Address fields similar to those in the Responsible Party step. The country and state fields are dropdowns.

6. Set the ownership percentage.

   Enter the member's ownership percentage in the Ownership percentage field. Use values between 0 and 100, with up to two decimal places (e.g., 33.33).

   What you will see

   A numeric input field that accepts values from 0 to 100 with a step of 0.01.

7. Add additional owners.

   Click the "ADD NEW OWNER" button at the bottom of the members list to add another member.

   What you will see

   A new empty member form will appear in the accordion. Fill in all required fields for the new member.

8. Remove an owner (if needed).

   To remove a member, expand their section and click the "REMOVE" button.

   Tip

   The "REMOVE" button is available only when there is more than one owner. The member will be removed from the list.

9. Verify ownership percentages total 100%.

   Review the ownership percentages for all members to ensure they add up to exactly 100.00%.

   What you will see

   If the total does not equal 100%, a warning message will appear: "Total ownership: [percentage]%. Ownership percentages must add up to exactly 100.00%." You will not be able to proceed until this is resolved.

10. Continue to the next step.

    Click the "Continue" button once all members are added and ownership totals 100%. Click "Go Back" to return to the Responsible Party step.

    What you will see

    If all validations pass, you will advance to the Beneficial Owners step. Otherwise, error messages will indicate what needs to be corrected.

What Happens Next

• You will proceed to the Beneficial Owners step, where you provide additional information required by federal law about individuals who directly or indirectly own or control the LLC.
• Members you added here will be automatically carried over as direct beneficial owners.
