What is an LLC operating agreement?

The internal contract between an LLC and its owners. It records who owns what share, how profits and losses are divided, who makes decisions, and what happens when a member leaves or the LLC closes. It is kept with your records, not filed with the state.

Do I need an operating agreement if I am the only member?

Yes, in practice. A single-member agreement shows the LLC is a separate business, which supports the liability protection, and banks often ask for one when you open a business account. Choose one member in the generator and it writes a single-member agreement.

Which states require an operating agreement?

A few state statutes say every LLC must have one, and New York requires a written agreement within 90 days of forming. Elsewhere it is optional by law but still recommended. Each state page lists what its law says.

Does an operating agreement have to be notarized or filed?

No state requires it to be filed, and notarizing is not required. Every member should sign it and keep a copy with the LLC records.

What is the difference between member-managed and manager-managed?

In a member-managed LLC the owners run the business day to day. In a manager-managed LLC, named managers run it and the other members are passive owners. The generator asks which one you want and writes the agreement to match.

Can I change the agreement later?

Yes. Members can amend it, usually by the vote the agreement itself sets. Common reasons are adding or removing a member or changing ownership shares.

Is this legal advice?

No. The generator produces a standard agreement from your answers. For unusual ownership terms, investors or disputes, have a lawyer review it.
