When is a name too close to one already registered?

This is what catches most filings. Connecticut compares your name against what is already on the register, and a difference that looks obvious to you may not count.

  • • Words, phrases or abbreviations indicating a type of person may not be taken into account: corporation, corp., incorporated, Inc., professional corporation, P.C., PC, Limited, Ltd., limited partnership, professional limited liability company, P.L.L.C., PLLC, limited liability partnership, L.L.P. or LLP

  • • The name must be distinguishable on the records of the Secretary of the State from every existing entity that is not administratively dissolved and has not filed a certificate of dissolution, every name a person is registered to do business under, and every reserved or registered name

Names Connecticut will accept with the other company's consent

  • • The holder of the conflicting name consents in a record and submits an undertaking, in a form satisfactory to the Secretary of the State, to change their own name to a distinguishable one
  • • Connecticut also allows a narrower consent: the holder may consent to your using a name that differs from theirs only by the addition of a word, phrase or abbreviation indicating an entity type

Our comparison cannot judge: Repeated or dropped letters. Texas treats "Texxas Strong" as the same name as "Texas Strong". Words that sound alike. Texas treats "Xpress Auto" as the same as "Express Auto". Words that mean the same thing in another language, where the state translates them. Anything the filing officer decides at their own discretion, which every state reserves.
