When is a name too close to one already registered?

This is what catches most filings. New Mexico compares your name against what is already on the register, and a difference that looks obvious to you may not count.

These do

  • • The name must be distinguishable from every LLC, limited partnership and corporation existing under New Mexico law, every foreign LLC and corporation authorised to transact business in New Mexico, and every name reserved under § 53-19-4

Our comparison cannot judge: Repeated or dropped letters. Texas treats "Texxas Strong" as the same name as "Texas Strong". Words that sound alike. Texas treats "Xpress Auto" as the same as "Express Auto". Words that mean the same thing in another language, where the state translates them. Anything the filing officer decides at their own discretion, which every state reserves.

Searching the official register

  • • All New Mexico business filings are online. The Secretary of State no longer accepts paper filings for any business application
  • • Unlike most states, § 53-19-3 offers no route to use a conflicting name with the other company’s consent. The only exception it provides is a court decree
  • • A name reservation lasts 120 days from filing and can be transferred, but the transfer does not extend it (§ 53-19-4)
  • • We have not published a direct link to the business search because the Secretary of State’s portal would not serve us when we checked, and we only publish a link once we have loaded it ourselves

Exceptions worth knowing

  • • The distinguishability rule does not apply if you file a certified copy of a final court decree establishing your prior right to the name in New Mexico (§ 53-19-3(C))
  • • If the company will transact business under a different name, that name must also be stated in the articles of organization (§ 53-19-3(A))
