When is a name too close to one already registered?

This is what catches most filings. Wyoming compares your name against what is already on the register, and a difference that looks obvious to you may not count.

These do not make a name different

  • • Company designations and abbreviations: Corp, Corporation, Inc, Incorporated, LLC, Limited Liability Company, Ltd Liability Co, Limited Company, LC, Limited, Ltd, Limited Partnership, LP, Partnership, Statutory Trust, Statutory Foundation
  • • Subtype designators: L3C, DAO, LAO
  • • Singular versus plural, including Latin forms such as Cactus/Cacti, Spectrum/Spectra, Lumen/Lumina, Supernova/Supernovae, Maximum/Maxima, and irregular English forms such as Child/Children and Goose/Geese
  • • The words "Company" and "Co"
  • • The words and symbols "The", "And", "&", "A"
  • • Spacing, for example Wildwood versus Wild Wood
  • • Capitalization, for example Jack versus jack versus JACK
  • • All punctuation
  • • All special characters

These do

  • • Numerals, Roman numerals and number words are distinguishable from one another: XYZ 3 LLC, XYZ III LLC and XYZ Three LLC are three different names

Our comparison cannot judge: Repeated or dropped letters. Texas treats "Texxas Strong" as the same name as "Texas Strong". Words that sound alike. Texas treats "Xpress Auto" as the same as "Express Auto". Words that mean the same thing in another language, where the state translates them. Anything the filing officer decides at their own discretion, which every state reserves.

Searching the official register

  • • Select the "Contains" option when searching, not an exact match
  • • Search both singular and plural forms; if either exists the name is unavailable
  • • The search disregards spaces, punctuation and capitalization
  • • A result marked "Inactive - Administratively Dissolved" or "Inactive - Revoked" still blocks the name unless its sub-status is "Archived"
  • • The office reviews registrations the following business day, and filing under a non-distinguishable name means extra paperwork and fees

Exceptions worth knowing

  • • Names containing a word requiring Department of Education or Division of Banking approval must be paper filed and may be delayed by the approval process
  • • Names beginning with the letter "A" followed by a space must be paper filed
  • • Names containing special characters must be paper filed
