Montana LLC naming rules

Your name must not

  • • Business name identifiers for another entity type, such as corporation, partnership, limited partnership, limited liability partnership or association, or their abbreviations
  • • Any other language stating or implying that the company is a business other than a limited liability company

When is a name too close to one already registered?

This is what catches most filings. Montana compares your name against what is already on the register, and a difference that looks obvious to you may not count.

These do

  • • The name must be distinguishable on the records of the Secretary of State from every domestic business corporation, nonprofit corporation, limited partnership and LLC, and every foreign one registered or qualified in Montana
  • • It must also be distinguishable from any assumed business name, limited partnership name, trademark, service mark or other name registered or reserved with the Secretary of State
  • • A dissolved domestic corporation’s name still blocks for 120 days after the effective date of its dissolution

Names Montana will accept with the other company's consent

  • • The holder of the conflicting name consents in writing and submits an undertaking, in a form satisfactory to the Secretary of State, to change its own name to a distinguishable one
  • • Or you deliver a certified copy of a final court judgment establishing your right to use the name in Montana
  • • Montana also allows a lighter route: written permission from the other entity, with a copy filed with the Secretary of State, and no undertaking to change its name (§ 35-14-401(4)(d))

Our comparison cannot judge: Repeated or dropped letters. Texas treats "Texxas Strong" as the same name as "Texas Strong". Words that sound alike. Texas treats "Xpress Auto" as the same as "Express Auto". Words that mean the same thing in another language, where the state translates them. Anything the filing officer decides at their own discretion, which every state reserves.

Searching the official register

  • • Montana checks registered trademarks, service marks and assumed business names as well as entity names, which most states do not
  • • We have not published a direct link to the business search because the Secretary of State’s portal would not serve us when we checked, and we only publish a link once we have loaded it ourselves

Exceptions worth knowing

  • • You may also use another entity’s name, including a fictitious name, if you have merged with it, been formed by reorganisation of it, or acquired all or substantially all of its assets including the name (§ 35-14-401(4))

Does a name search reserve or protect my Montana name?
