Iowa LLC naming rules

  • • Words that may only be used with the approval of another Iowa department or agency, unless you obtain that approval and file a record certifying it with the Secretary of State

When is a name too close to one already registered?

This is what catches most filings. Iowa compares your name against what is already on the register, and a difference that looks obvious to you may not count.

These do not make a name different

  • • Words, phrases or abbreviations indicating a type of person are not taken into account: corporation, corp., incorporated, Inc., professional corporation, P.C., professional association, P.A., Limited, Ltd., limited partnership, L.P., limited liability partnership, L.L.P., registered limited liability partnership, R.L.L.P., limited liability limited partnership, L.L.L.P., registered limited liability limited partnership, R.L.L.L.P., limited liability company, L.L.C., LLC, cooperative, coop or CP

These do

  • • The name must be distinguishable on the records of the Secretary of State from existing entities, limited liability partnerships whose statement of qualification is in effect, names people are registered to do business under, reserved and registered names, and fictitious names registered with the Secretary of State
  • • An administratively dissolved entity still blocks its name for five years from the effective date of dissolution, so a dead company is not a free name in Iowa

Names Iowa will accept with the other company's consent

  • • The holder of the conflicting name consents in a record and submits an undertaking, in a form satisfactory to the Secretary of State, to change their own name to one that is distinguishable

Our comparison cannot judge: Repeated or dropped letters. Texas treats "Texxas Strong" as the same name as "Texas Strong". Words that sound alike. Texas treats "Xpress Auto" as the same as "Express Auto". Words that mean the same thing in another language, where the state translates them. Anything the filing officer decides at their own discretion, which every state reserves.

  • • The five year rule on administratively dissolved entities is the one to watch. A name can look free on the register and still be blocked

How do I search Iowa business entity names?

Iowa Secretary of State runs the official register. Search there for the exact name you want. Before you do, use the checker above to confirm the name satisfies Iowa Code § 489.112, because a name can be unused and still be refused for breaking the naming rules.

What must a Iowa LLC name contain?

Sometimes. The holder of the conflicting name consents in a record and submits an undertaking, in a form satisfactory to the Secretary of State, to change their own name to one that is distinguishable The consent has to be filed with your formation document.

Does a name search reserve or protect my Iowa name?

No. A search tells you what is on the register at that moment. It is not an approval, and it gives you no rights in the name. Availability is finally determined only when your formation document is reviewed.
